These Terms of Use are entered into by and between the user of our sites (the "User," "you") and New Square Holding Inc., aDelaware corporation("Meallions" or "we"). These Terms of Use govern your access to and use of all websites controlled by Meallions where these Terms of Use are posted (including any content, functionality, and services offered on or through such websites) (collectively, the "Sites"), whether as a guest or a registered user.

By accessing or using the Sites, you agree to be bound by these Terms of Use and ourPrivacy Policy, available at meallions.com, which is incorporated herein by reference. If you do not agree to these Terms of Use, do not access or use the Sites and do not use any information or services provided by the Sites.

The Sites are offered and available only to Users who are 18 years of age or older. By using the Sites, you represent and warrant that you are 18 years or older and otherwise of legal age to form a binding contract with Meallions. If you do not meet this requirement, you must not use or access the Sites.

1. Definitions

"Related Party" means any affiliates, entities that control Meallions and/or subsidiaries of Meallions, as well as Meallions's licensors and service providers (e.g., third parties that perform services for us such as website hosting, order fulfillment, delivery of promotional materials and product offers, clearing and processing credit and debit card payments, or performing other services on our behalf), and each of its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns.

"Third-Party Websites" means websites or locations operated and controlled by third parties other than Meallions or its Related Parties.

"User" or "you" means any person who accesses and/or uses the Sites.

2. Ownership and Operation

The Sites and their entire contents, features, and functionality (including, without limitation, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Meallions, its licensors, or other providers of such material and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You agree that the Sites are available for your personal, non-commercial use only and that you have no right to use the Sites except as provided in these Terms of Use. Meallions will not be liable for any loss or damage you suffer in connection with any use of the Sites for commercial or other unauthorized purposes. Meallions may deny or terminate any User's access to or use of the Sites at any time. The Sites are provided free of charge; accordingly, Meallions has no maintenance or support service obligation and is not liable for any loss or damage that any User may suffer as a result of any failure to maintain or update the Sites.

Subject to these Terms of Use, Meallions grants you a revocable, non-transferable, and non-exclusive license to view, print, and distribute the content of the Sites for personal and non-commercial purposes, provided that you do not remove or obscure the copyright notice or any other notice contained in the content.

You may not access or use the Sites for any purpose other than as authorized by these Terms of Use, including, without limitation, engaging in any of the following without Meallions's prior written consent:

  • Copying, modifying, or reusing the Sites, their updates, or any part thereof, including the software they incorporate.
  • Copying, reprinting, modifying, displaying, developing, translating, distributing, adapting, transmitting, communicating to the public, disclosing, or selling content from the Sites for any commercial use, or disclosing the same to any third party for commercial purposes, including on websites other than the Sites.
  • Accessing or using the Sites for any commercial purposes.
  • Using any illustrations, photographs, video or audio sequences, or graphics separately from the accompanying text.
  • Using the Sites in any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, export control laws).
  • Exploiting, harming, or attempting to exploit or harm minors in any way (e.g., by exposing them to inappropriate content or requesting personally identifiable information).
  • Transmitting or procuring the sending of any advertising or promotional material without our prior written consent, including "junk mail," "chain letters," "spam," or any other similar solicitation.
  • Impersonating or attempting to impersonate Meallions, a Meallions employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
  • Engaging in any other conduct that restricts or inhibits anyone's use or enjoyment of the Sites, or which, as determined by us, may harm Meallions or users of the Sites or expose them to liability.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Sites in breach of these Terms of Use, your right to use the Sites will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Sites or any content on the Sites is transferred to you, and all rights not expressly granted are reserved by Meallions. Any use of the Sites not expressly permitted by these Terms of Use is a breach and may violate intellectual property laws.

Additionally, you agree not to: Use the Sites in any way that could damage, disable, overburden, or impair the Sites, or interfere with any other user's ability to engage in real-time activities through the Sites; Use any robot, spider, or other automatic device, process, or means to access the Sites for any purpose, including scraping, data mining, monitoring, or copying any material; Use any manual process to monitor or copy any material from the Sites, or for any other unauthorized purpose without Meallions's prior written consent; Use any device, software, or routine that interferes with the proper working of the Sites; Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Sites, the server(s) on which the Sites are stored, or any server, computer, or database connected to the Sites; Attack the Sites via a denial-of-service attack or a distributed denial-of-service attack, or otherwise attempt to interfere with the proper working of the Sites.

3. Acceptance of These Terms of Use

Your access to or use of the Sites, directly or indirectly, and/or download of information from the Sites constitutes your acceptance of these Terms of Use in full. Your use of the Sites and any applications, software, data, products, contests, promotions, sweepstakes, and other services provided to you by Meallions on or through the Sites (the "Services") shall at all times be subject to these Terms of Use.

4. Changes to the Sites

Meallions reserves the right to update, modify, or remove, in part or in whole, with or without notice, any content or information posted on the Sites, including content regarding availability or stock of products or services, specifications, prices, configurations, functionalities, or promotional activities. Meallions may also modify, suspend, or eliminate the Services, contents, and conditions of access to and/or use of the Sites at any time without prior notice.

The Sites' content is not necessarily complete or up-to-date. Any material on the Sites may be out of date at any given time, and Meallions has no obligation to update such material.

5. Eligibility and Access

Access to and use of the Sites by persons under the age of 18 shall be the responsibility of their respective parents or legal guardians, who shall be responsible hereunder and under applicable law for any consequences of such access and/or use.

Meallions may limit access to certain parts of the Sites and/or specific Services to users aged 18 and over. In such cases, Meallions will clearly identify those parts of the Sites or those Services where access is limited and the applicable terms. Meallions may deny access to the Sites and/or the Services without prior notice to users who breach these Terms of Use or any applicable supplemental terms.

From time to time, Meallions may restrict access to some parts of the Sites, or the entire Sites, to any Users, including registered Users. You are solely responsible for (i) making all arrangements necessary for you to have access to the Sites and (ii) ensuring that all persons who access the Sites through your internet connection are aware of these Terms of Use and comply with them.

6. Registration

To access certain functionalities, you may be asked to register. When registering, you must provide accurate, complete, and current information and update it as necessary. You must enter an email and create a personal, non-transferable password to log into the Sites. The username, password, and other information provided as part of Meallions's security procedures are confidential. You must take appropriate precautions to avoid misuse by third parties, must not disclose such information to any other person or entity, and acknowledge that your account is personal to you. Meallions may disable any username, password, or other identifier, whether chosen by you or provided by Meallions, at any time in Meallions's sole discretion for any or no reason, including if, in Meallions's opinion, you have violated any provision of these Terms of Use.

You are solely responsible for access to and activities carried out on the Sites through your account and must immediately inform Meallions of any misuse or unauthorized access by third parties. In case of loss or theft of your password, you must immediately change it on the Sites. If you cannot do so, you must contact Meallions and remain responsible for all actions taken through your account.

7. Contact

If you wish to contact us through the Sites, Meallions may request the reason for such contact, personal information such as your first and last name, email address, and country, and a message explaining the reasons for contact. As part of the contact process, Meallions may request a username and password. You agree to provide accurate and complete information when contacting us and when using the Sites and Services. You authorize Meallions to store and use your information for the purposes set forth in these Terms of Use to respond to your requests when accessing the Sites.

8. Privacy

All information and data we collect on the Sites, including information you provide (including through registration), are subject to our Privacy Policy, available at meallions.com. By using the Sites, you consent to all actions we take with respect to your information in compliance with the Privacy Policy.

9. Ownership and Use of Materials, Products, and Services

Meallions owns the intellectual property rights in all materials on the Sites and owns or has a valid right to use all trademarks, service marks, graphics, and logos used on the Sites. Unless expressly stated, no part of the Sites may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, except that you may download one copy of materials on a single computer for your personal, non-commercial use, provided you keep intact all copyright, trademark, and other proprietary notices. Any modification or other use of the materials is a violation of Meallions's intellectual property and proprietary rights and these Terms of Use. Your use of any trademarks, service marks, graphics, or logos on the Sites other than as authorized in these Terms of Use or in writing by Meallions is strictly prohibited.

If you download software or other digital content, including apps, from the Sites ("Products"), such Products, and all files, images, and data relating thereto, are licensed non-exclusively to you by Meallions for personal, non-commercial use only, and at all times subject to these Terms of Use and Meallions's rights, interests, and titles therein and thereto. You agree and acknowledge that you do not and will not own the downloaded Products and that Meallions does not transfer any ownership of the Products to you. Meallions retains full ownership of and title to the Products and all intellectual property rights related thereto. You may not redistribute, sell, decompile, reverse engineer, or disassemble the Products or otherwise reduce the Products to a human-readable form.

10. Consent

You grant to Meallions all consents required under any applicable law, including without limitation pursuant to Law N° 19,628 on the Protection of Personal Data and any applicable U.S. federal or state laws, that may be required for Meallions or any of its Related Parties to process Personal Information (as defined in the Privacy Policy) in accordance with these Terms of Use and our Privacy Policy, both available at meallions.com.

11. Geographic Scope of the Sites

Meallions controls and operates the Sites from the United States of America. Unless otherwise specified on the Sites, the Sites are intended to promote only those Meallions products that are sold by Meallions in the United States of America. Meallions makes no representation that materials and content on the Sites or the products described are appropriate or available for use in other locations. Access to the Sites may be illegal by certain persons or in certain countries. If you access the Sites from outside the United States of America, you do so on your own initiative and are solely responsible for compliance with local laws.

12. Online Purchases and Other Terms and Conditions

All purchases through the Sites or other transactions for the sale of goods, services, or information formed through the Sites, or resulting from visits made by you, are governed by our Terms of Sale, available at meallions.com, which are incorporated into these Terms of Use. Additional terms and conditions may also apply to specific portions, services, or features of the Sites and are incorporated herein by reference.

13. Linking to the Sites

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement by us without our express written consent. Subject to the foregoing, you must not:

  • Establish a link from any website that is not owned by you.
  • Cause the Sites or portions of them to be displayed on, or appear to be displayed by, any other site (e.g., framing, deep linking, or in-line linking).
  • Link to any part of the Sites other than the homepage.
  • Take any action with respect to materials on the Sites that is inconsistent with these Terms of Use.

You agree to cooperate with us in causing any unauthorized framing or linking to stop immediately. We reserve the right to withdraw linking permission without notice.

14. Third-Party Links

The Sites may contain links to Third-Party Websites provided solely for your convenience. This includes links contained in advertisements, including banner advertisements and sponsored links. No third-party information, material, or content referenced by or included in the Sites implies endorsement of third-party products, services, or information. Any information, data, opinions, recommendations, products, or services provided by third parties, whether through links or directly through their websites, are solely those of such third parties and not of Meallions. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you access any Third-Party Websites linked on the Sites, you do so entirely at your own risk and subject to the terms of use and privacy policies of those websites.

15. Exclusion of Warranties

The material available on the Sites is provided "as is", "as available", and without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Meallions disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Meallions makes no warranty that the Sites will meet your requirements, that access will be uninterrupted, timely, secure, or error-free, or that defects, if any, will be corrected. Meallions does not warrant or make representations regarding the use or results of the use of the material on the Sites in terms of correctness, accuracy, reliability, or otherwise. The material on the Sites may include technical inaccuracies or typographical errors and may be inaccurate or become inaccurate as a result of developments after their respective dates. Meallions undertakes no obligation to verify or maintain the currency of such information.

Regarding the functioning of the Sites, Meallions does not warrant that (i) the operation of the Sites will meet your requirements; (ii) access will be uninterrupted, timely, secure, free of viruses, worms, Trojan horses, or other harmful components, or free of defects or errors; (iii) the results that may be obtained from the use of the Sites will be accurate or reliable; or (iv) defects will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the Sites is used at your own risk and that you will be solely responsible for any damage to your computer system or loss of data that results from such download. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

Meallions is not responsible in any way for contents, commercial activities, products, and services that may be viewed through electronic links (links), directly or indirectly, through the Sites, including content that could correspond to value-added content for the User, such as leisure, entertainment, curiosities, advice, or others. The presence of links on the Sites, unless expressly stated otherwise, is merely for information purposes and in no case implies a suggestion, invitation, or recommendation. These links do not represent any type of relationship between Meallions and the individuals or companies that own the websites accessible through these links. Meallions reserves the right to remove links that appear on the Sites at any time.

16. Limitation of Liability

SUBJECT TO APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL MEALLIONS OR ANY OF ITS RELATED PARTIES, OR EACH OF ITS AND THEIR LICENSORS OR LICENSEES, BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR OTHER DAMAGES, INCLUDING LOST PROFITS, PERSONAL INJURY (INCLUDING DEATH), OR PROPERTY DAMAGE, THAT MAY RESULT FROM (I) THE USE OF, OR THE INABILITY TO USE, THE SITES OR ANY MATERIAL ON THE SITES; (II) THE CONDUCT OF ANY OTHER USER OR THIRD PARTY ON THE SITES; (III) THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR PERSONAL INFORMATION; OR (IV) ANY OTHER MATTER RELATED TO THE SITES. MEALLIONS SHALL NOT BE LIABLE EVEN IF MEALLIONS OR AN AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE INCLUDE, BUT ARE NOT LIMITED TO, DAMAGES OR INJURY CAUSED BY ERROR, OMISSION, INTERRUPTION, DEFECT, FAILURE OF PERFORMANCE, DELAY IN OPERATION OR TRANSMISSION, LINE FAILURE, OR COMPUTER VIRUS, WORM, TROJAN HORSE, OR OTHER HARMFUL COMPONENT.

To the fullest extent provided by law, in no event will the collective liability of Meallions and its Related Parties to any party (regardless of the form of action, whether in contract, tort, or otherwise) exceed the amount you have paid to Meallions for the product or service out of which the liability arose.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct, or to death or bodily injury caused by products you purchase through the Sites. In the event that applicable law does not allow the exclusion of certain warranties or the limitation or exclusion of liability, the above limitations shall be construed to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Meallions and its Related Parties from and against any and all claims, judgments, actions, or proceedings of any kind and from any and all damages, awards, losses, fees, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Sites, any use of the information and data you provide to us as permitted in these Terms of Use, and/or any breach or alleged breach of any of your warranties, representations, or agreements hereunder.

18. Termination

The duration of the Sites and Services is indefinite. Notwithstanding the foregoing, Meallions may interrupt, suspend, or terminate the provision of the Sites or any Services at any time, in its sole discretion, with or without cause.

19. Changes to These Terms of Use

Meallions may, from time to time, change or revise these Terms of Use in its sole discretion by posting the latest version on the applicable Site(s) and indicating the date of such update at the top of this page. Your continued use of the Sites constitutes your agreement to the then-current Terms of Use.

20. Applicable Law and Jurisdiction

These Terms of Use, as well as the relationship between you and Meallions, shall be governed by and construed in accordance with the laws of the State of New York, United States. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Sites ("Claims") raised by you shall be instituted exclusively in the courts located in the City and County of New York, New York, United States. Meallions may bring Claims against you in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

21. Severability

If any provision of these Terms of Use is found to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

22. Waiver

No waiver by us of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition herein. No failure by Meallions to enforce any part of these Terms of Use shall constitute a waiver of any rights under these Terms of Use whether for past or future actions. Only a written waiver signed by a legal representative of Meallions will have legal effect.

23. Entire Agreement

These Terms of Use, our Privacy Policy, and our Terms of Sale constitute the sole and entire agreement between you and Meallions regarding the Sites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Sites.
